Substantial Customers and Suppliers. SECTION 2.25(a) OF THE DISCLOSURE SCHEDULE lists the five (5) largest customers of the Company and the Subsidiaries, on the basis of revenues for goods sold or services provided for the most recently-completed fiscal year. SECTION 2.25(b) OF THE DISCLOSURE SCHEDULE lists the five (5) largest suppliers of the Company and the Subsidiaries, on the basis of cost of goods or services purchased for the most recently-completed fiscal year. Except as disclosed in SECTION 2.25(c) OF THE DISCLOSURE SCHEDULE, no such customer or supplier has ceased or materially reduced its purchases from, use of the services of, sales to or provision of services to the Company and the Subsidiaries since the Audited Financial Statement Date, or to the Knowledge of Love, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof. Except as disclosed in SECTION 2.25(d) OF THE DISCLOSURE SCHEDULE, to the Knowledge of Love, no such customer or supplier is threatened with bankruptcy or insolvency.
