No such supplier has ceased or materially reduced its sales or provision of services to the Company since December 31, 1999 or, to the knowledge of the Company, has threatened to cease or materially reduce such sales or provision of services after the date hereof including, after consummation of the transactions contemplated by this Agreement and the Ancillary Agreements. To the knowledge of the Company, no such supplier is threatened with bankruptcy or insolvency.
