Style Guide. Marvel and SPCP shall be jointly responsible for the creation of the style guide for the merchandising program for each Picture or Series and the parties shall have true mutual approval (with no tie-breaker) regarding the contents thereof, provided that each party shall be obligated to cause the style guide to conform to the provisions of Sections 11.b(v)(C)(8) below. SPCP will be responsible, in the first instance, for preparation and determination of the amount of the budget for the preparation of the style guide for each Picture or Series. If Marvel then desires to spend more on creation of any such style guide than SPCP has budgeted, Marvel can then do so, in consultation with SPCP. Each party will pay for all printing costs for all copies of the style guide ordered by such party.

Style Guide myVEGAS will provide an updated Style Guide reflecting the addition of the Local Station Brands as contemplated herein to MGM for its prior approval pursuant to Section 3 of the Agreement.
Style Guide. All uses of the Trade-xxxx by Licensee, including, but not limited to all advertising, publication and other publicity and promotional materials created and used by Licensee, shall be in accordance with Trade-xxxx Owner’s Graphic Norms and Guidelines and the BRP division guides in place and in force as of the Closing Date, complete copies of which have been provided to Licensee. Trade-xxxx Owner may, from time-to-time, amend its communication policy, including the Graphic Norms and Guidelines, on reasonable notice to the Licensee, and, to the extent that such amendments apply uniformly to Trade-xxxx Owner’s business and do not impair the ability of Licensee to use the Trade-xxxx in association with the Wares and/or Services and are consistent with this Agreement, Licensee shall thereafter use the applicable amended communication policy. Licensee may, from time-to-time, amend the BRP division guides subject to obtaining Trade-xxxx Owner’s written consent, which shall not be unreasonably withheld, for an amendment dealing with or related to the Trade-xxxx, and Licensee shall thereafter use the applicable amended BRP division guides.
Style Guide. As soon as reasonably practical after the Effective Date, NAMING RIGHTS PARTNER shall develop a style guide that sets forth approved uses of the Arena Marks and the NAMING RIGHTS PARTNER Marks (“Style Guide”), which shall be provided to COUNTY. Any use by the COUNTY of any Marks shall comply with the Style Guide in all material respects.
Style Guide. LICENSEE, at LICENSOR's request, will contribute to the development and production of the art and materials for a style guide for the Property, to be made available to all other licensees of the Property. LICENSEE acknowledges that LICENSOR has already engaged other parties to develop a style guide for the Property and that LICENSEE's involvement in developing such guide will be collaborative and in co-operation with such parties. All out-of-pocket expenses incurred by LICENSOR in the development and production thereof will be for the account of LICENSOR and may be recouped by LICENSEE from Royalties otherwise payable hereunder. Any report rendered under Paragraph 4(a) shall set forth in reasonable detail such out-of-pocket expenses.

  • GENERAL SERVICE DESCRIPTION Service Provider currently provides active medical, pharmacy(Rx) and dental administration for coverages provided through Empire and Anthem (medical), Medco(Rx), MetLife(dental) and SHPS (FSA) (Empire, Anthem, Medco, MetLife and SHPS collectively, the “Vendors”) for its U.S. Active, Salaried, Eligible Employees (“Covered Employees”). Service Provider shall keep the current contracts with the Vendors and the ITT CORPORATION SALARIED MEDICAL AND DENTAL PLAN (PLAN NUMBER 502 EIN 00-0000000) and the ITT Salaried Medical Plan and Salaried Dental Plan General Plan Terms (collectively, the “Plans”) and all coverage thereunder in full force through December 31, 2011 for Service Recipient’s Covered Employees. All claims of Service Recipient’s Covered Employees made under the Plans and incurred on or prior to December 31, 2011 the (“2011 Plan Year”) will be adjudicated in accordance with the current contract and Service Provider will continue to take such actions on behalf of Service Recipient’s Covered Employees as if such employees are employees of Service Provider. All medical, dental, pharmacy and FSA claims of Service Recipient’s Covered Employees made under the Plans (the “Claims”) will be paid by the Vendors on behalf of the Service Provider. Service Recipient will pay Service Provider for coverage based on 2011 budget premium rates previously set for the calendar year 2011 and described in the “Pricing” section below. Service Recipient will pay Service Provider monthly premium payments for this service, for any full or partial months, based on actual enrollment for the months covered post-spin using enrollments as of the first (1st) calendar day of the month, commencing on the day after the Distribution Date. Service Recipient will prepare and deliver to Service Provider a monthly self xxxx containing cost breakdown by business unit and plan tier as set forth on Attachment A, within five (5) Business Days after the beginning of each calendar month. The Service Recipient will be required to pay the Service Provider the monthly premium payments within ten (10) Business Days after the beginning of each calendar month. A detailed listing of Service Recipient’s employees covered, including the Plans and enrollment tier in which they are enrolled, will be made available to Service Provider upon its reasonable request. Service Provider will retain responsibility for executing funding of Claim payments and eligibility management with Vendors through December 31, 2013. Service Provider will conduct a Headcount True-Up (as defined below) of the monthly premiums and establish an Incurred But Not Reported (“IBNR”) claims reserve for Claims incurred prior to December 31, 2011 date, but paid after that date, and conduct a reconciliation of such reserve. See “Headcount True-Up” and “IBNR Reconciliation” sections under Additional Pricing for details.

  • Program Description The employer agrees to provide a vision benefit to eligible employees and dependents. The vision benefit provided by the State shall have an employee co-payment of $10 for the comprehensive annual eye examination and $25 for materials.
