SOLICITATION OF POTENTIAL PURCHASERS. The Placement Agent agrees to ------------------------------------ solicit potential purchasers of the Units only from parties whom it has a reasonable basis to believe are either QIBs or institutional Accredited Investors or individual Accredited Investors and a limited number of non-Accredited Investors meeting the standards set forth in Rule 506(b)(2)(ii) of Regulation D of the Securities Act of 1933, as amended, residing in jurisdictions designated by the Company. The Placement Agent will only solicit potential purchasers in compliance with applicable federal and state securities laws. The Placement Agent agrees not to make any representation with respect to the Company other than as contained in the Memorandum. The Placement Agent agrees to furnish a certificate at Closing to the effect that they have complied with this Section 2.3. The Placement Agent may arrange for the solicitation of prospective purchasers by other Persons; provided, however, that (i) any compensation shall be received by such Person pursuant to Section 2.5, and (ii) each such Person shall comply with the representations set forth in this Section 2.3 and shall furnish a certificate at the Closing to the effect that it has complied with this Section 2.3. The Placement Agent agrees to promptly deliver or cause Persons acting on their behalf to deliver, a copy of the Memorandum to each Purchaser and prior to the Closing to deliver any subsequent supplements and exhibits thereto, if any.

  • Non-Solicitation of Suppliers Executive agrees that during the Restricted Period, Executive will not, directly or indirectly, solicit or influence, or attempt to solicit or influence, the Company’s suppliers to provide goods or services then provided to the Employer to any other person or entity in Competition with the Employer.

  • Non-Solicitation of Customers During the Restricted Period, the Executive shall not, directly or indirectly, solicit or induce, or attempt to solicit or induce, any customer, supplier, licensee, licensor or other business relation of the Company to terminate its relationship or contract with the Company, to cease doing business with the Company, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees).
