Software and Know-How Sample Clauses

The 'Software and Know-How' clause defines the ownership, use, and rights related to software and proprietary knowledge exchanged or developed under an agreement. Typically, it clarifies whether software and technical know-how provided by one party remain their property or if certain rights, such as licenses or usage permissions, are granted to the other party. For example, it may specify that any custom software developed during a project belongs to the client, while pre-existing tools or methods remain with the provider. This clause ensures both parties understand their rights and obligations regarding intellectual property, reducing the risk of disputes over ownership or usage after the contract ends.
