Skyworks. (i) is duly organized and validly existing under the laws of Delaware, (ii) is in good standing under such laws, and (iii) has full power and authority to execute, deliver and perform its obligations under, the Refinancing Documents.
Skyworks. You therefore agree that in addition and as a supplement to such other rights and remedies as may exist in Skyworks’ favor, Skyworks may apply to any court having jurisdiction to enforce the specific performance of the restrictions in this Section 7, and may apply for injunctive relief against any act which would violate those restrictions. You also agree that in addition to any damages that may be recovered, the prevailing party in any legal action to enforce this non- solicitation agreement shall be entitled to recover its costs and attorneys’ fees from the other party.
Skyworks. As of the date hereof, neither the Company nor any of ▇▇▇▇▇▇▇, Fenzi nor ▇▇▇▇▇▇▇ is aware that Skyworks intends to terminate or effectively abandon the Skyworks Agreement or the project contemplated thereby.
