SEVERAL REPRESENTATIONS AND WARRANTIES OF SHAREHOLDERS. Except as set forth in the disclosure schedule attached hereto as Exhibit B (the “Shareholder Disclosure Schedule”), each Shareholder, by virtue of signing this Agreement, severally but not jointly, represents and warrants to SOLS that the statements contained in this Article V are true, correct and complete as of the date of this Agreement (or, if made as of a specified date, as of such date) and will be true, correct and complete as of the Closing Date (or, if made as of a specified date, as of such date).
