Section Will Sample Clauses

Section Will. Not Apply if a Change of Control Occurs. This Section 14 shall not apply to any compensation that, but for the application of this Section 14, would be payable by Key to Xxxxx in respect of the first calendar year in which a Change of Control occurs (the "Change Year") or in respect of any later calendar year. For example, if the Committee has given notice to Xxxxx, as contemplated by Section 14.2, that this Section 14 shall apply to compensation otherwise payable in respect of a particular calendar year and a Change of Control thereafter occurs during that calendar year, this Section 14 shall not apply to that compensation, notwithstanding the notice given by the Committee.
