Section Shares Sample Clauses

Section Shares. The Company has the absolute and unrestricted right, power, authority and capacity to issue and sell the Shares. Except for the legend set forth in the Investor's Rights Agreement will appear upon the certificates representing the Shares, no legend or other reference to any purported Encumbrance will appear upon any certificate representing any of the Shares. All of the Shares, when issued, sold and delivered in accordance with the terms of this Agreement for the consideration set forth herein, will be duly authorized and validly issued, fully paid and non- assessable, and will be free of restrictions on transfer other than any restrictions on transfer set forth in this Agreement and the Investor's Rights Agreement and under applicable state and federal securities laws. Except as set forth on Schedule 3.2 hereto and except for this Agreement, there are no Contracts relating to the issuance, sale, or transfer of any equity securities of the Company.
