Sales Commission; Compensation. (a) The Fund shall pay the Distributor an amount equal to 1.00% of the gross sales price per Share of the Shares sold.

A Participant earning sales commission compensation (as defined in Treasury Regulation §1.409A-2(a)(12)) is treated as providing the services to which such compensation relates only in the Company’s taxable Year in which the customer remits payment to the Company or, if applied consistently to all similarly situated Participants, the Company’s taxable Year in which the sale occurs.
