Sale of Surplus Water. Subject to the closing of the Authority’s proposed Gulf Coast Water Authority Contract Revenue Bonds (Xxxxxx X. Xxxxxx Water Treatment Plant Expansion), Series 2023A (Tax Exempt) and Gulf Coast Water Authority Contract Revenue Bonds (Xxxxxx X. Xxxxxx Water Treatment Plant Expansion), Series 2023B (Taxable) (collectively the “Xxxxxx Plant Expansion Bonds”) and compliance with any laws or regulations related to the use of proceeds of the Xxxxxx Plant Expansion Bonds for such purpose, the Authority hereby agrees to purchase the Surplus Water in connection with the expansion of the Xxxxxx X. Xxxxxx Water Treatment Plant at a cost of $875,000 per million gallons per day (“MGD”) (for a total payment of $1,761,761.00), which amount represents the current raw water buy-in fee established by the Board of Directors of the Authority (the “Authority Board”) on customers (whether existing or new) who inter into new or amended long-term water supply agreements with the Authority that impose increased demands on the Authority for water from its canal system. Such payment shall be due to Customer within 30 days of the closing of the Xxxxxx Plant Expansion Bonds. Upon payment of such funds to Customer, Customer’s quantity of Prior Agreement Water and Surplus Water shall be reduced by the amount of Surplus Water purchased by the Authority, and Schedule I shall be updated to reflect such reductions. If the Authority does not close on the Xxxxxx Plant Expansion Bonds or laws or regulations shall prohibit the expenditure of the proceeds of the Xxxxxx Plant Expansion Bonds for such purpose, then the Surplus Water shall be reclassified as Remarket Water and Schedule I shall be updated to reflect such reclassification.

Sale of Surplus Water. The City will annually make a maximum of _400 acre-feet of water surplus to the needs of the City, (“Surplus Water”) available to Xxxxxxx, and Xxxxxxx will purchase from the City a minimum of 200 acre-feet of Surplus Water annually to serve Xxxxxxx’x customers for domestic and other beneficial uses. Nothing in this Agreement shall be construed to preclude or limit the ability of the City to make additional Surplus Water, in excess of the amount stated above, available to Xxxxxxx.

ADOT to oversee for compliance TMP-4 Congestion from construction-related traffic will create temporary impacts in the project vicinity. The magnitude of these impacts will vary depending on the location of the sources of the fill material and of the disposition sites for surplus material, the land uses along the routes, the duration of hauling operations, staging locations, and the construction phasing. To identify acceptable routes and times of operation, ADOT, or its representative, will prepare an agreement with local agencies regarding hauling of construction materials on public streets. As it relates to these Technical Provisions, references to freeway, project, South Mountain Freeway, proposed action, proposed freeway, and Selected Alternative mean the Project, and references to contractor mean Developer. Developer shall comply with and perform all of the contractor and ADOT requirements, including the ADOT obligations, commitments, and responsibilities, identified in the following table, except to the extent of those requirements that are specifically identified in the third column, entitled “Description of ADOT Responsibilities,” which are not delegated to Developer.

  • BUY AMERICA REQUIREMENT (Applies only to Federally Funded Highway and Transit Projects) With respect to products purchased by Customer for use in federally funded highway projects, Contractor shall comply with all federal procurement laws and regulations with respect to such projects, including the Buy American provisions set forth in 23 U.S.C. Section 313, 23 C.F.R. Section 635.410, as amended, and the Steel and Iron Preference provisions of Texas Transportation Code Section 223.045, to the extent applicable. Contractor agrees to provide all certifications required by Customer regarding such programs. With respect to products purchased by Customer for use in federally funded transit projects, Contractor shall comply with all federal procurement laws and regulations with respect to such projects, including the Buy American provisions set forth in 49 U.S.C.   • Application of Miscellaneous Proceeds upon Condemnation, Destruction, or Loss in Value of the Property In the event of a total taking, destruction, or loss in value of the Property, all of the Miscellaneous Proceeds will be applied to the sums secured by this Security Instrument, whether or not then due, with the excess, if any, paid to Borrower. In the event of a partial taking, destruction, or loss in value of the Property (each, a “Partial Devaluation”) where the fair market value of the Property immediately before the Partial Devaluation is equal to or greater than the amount of the sums secured by this Security Instrument immediately before the Partial Devaluation, a percentage of the Miscellaneous Proceeds will be applied to the sums secured by this Security Instrument unless Borrower and Lender otherwise agree in writing.
