Common use of Right to Injunction Clause in Contracts

Right to Injunction. Executive acknowledges that a breach of the covenants set forth in Section 10 hereof will cause irreparable damage to the Company with respect to which the Company’s remedy at law for damages will be inadequate. Therefore, in the event of breach or anticipatory breach of the covenants set forth in this section by Executive, Executive and the Company agree that the Company shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: (A) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (B) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company to enforce the covenants set forth in this section.

Executive acknowledges and agrees that a compliance with the covenants set forth in this Agreement is necessary to protect the business and goodwill of the Company and any breach of the covenants set forth in Section 10 hereof above will cause irreparable damage to the Company with respect to which the Company’s remedy at law for damages will be inadequate. Therefore, in the event of breach or anticipatory breach of the covenants set forth in this section Section 10 by Executive, Executive and the Company agree that the Company shall be entitled to seek the following particular forms of relief, in addition to any remedies otherwise available to it at law or equity: (Ai) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company to enforce the covenants set forth in this sectionSection 10.

Therefore, in the event of breach or anticipatory breach of the covenants set forth in this section Section by Executive, Executive and the Company PROMISTAR agree that the Company PROMISTAR shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: (Ai) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s 's fees, incurred by the Company PROMISTAR to enforce the covenants set forth in this sectionSection 9.

Therefore, in the event of any breach or anticipatory breach of the covenants set forth in this section a Protective Covenant by Executive, Executive and the Company agree that the Company shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: (Ai) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company to pursue the remedies provided for in this Section of the Agreement to enforce the covenants set forth in this sectionProtective Covenants.

Executive Employee acknowledges that a breach of the covenants set forth in Section 10 7 hereof will cause irreparable damage to the Company with respect to which the Company’s 's remedy at law for damages will be inadequate. Therefore, in the event of breach or of anticipatory breach of the covenants set forth in this section by ExecutiveEmployee, Executive Employee and the Company agree that the Company shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: ; (Ai) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive Employee hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s 's fees, incurred by the Company to enforce the covenants set forth in this section.

Therefore, in the event of breach or of anticipatory breach of the covenants set forth in this section by ExecutiveEmployee, Executive Employee and the Company agree that the Company shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: ; (Ai) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive Employee hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company to enforce the covenants set forth in this section.

Therefore, in the event of breach or anticipatory breach of the covenants set forth in this section Section 8 by Executive, Executive and the Company agree that the Company and/or WMI shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: (A) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (B) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company and/or WMI to enforce the covenants set forth in this section.

Executive Employee acknowledges that a breach of the covenants set forth in Section 10 7 hereof will cause irreparable damage to the Company with respect to which the Company’s remedy at law for damages will be inadequate. Therefore, in the event of breach or anticipatory breach of the covenants set forth in this section by ExecutiveEmployee, Executive Employee and the Company agree that the Company shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: ; (Ai) injunctions, both preliminary and permanent, enjoining or restraining such breach or anticipatory breach and Executive Employee hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company to enforce the covenants set forth in this section.

Therefore, in the event of breach or of anticipatory breach of the covenants set forth in this section by ExecutiveEmployee, Executive Employee and the Company agree that the Company shall be entitled to seek the following particular forms of relief, in addition to remedies otherwise available to it at law or equity: ; (Ai) injunctions, both preliminary and permanent, enjoining or restraining retraining such breach or anticipatory breach and Executive Employee hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company to enforce the covenants set forth in this section.

Right to Injunction. Executive acknowledges and agrees that a compliance with the covenants set forth in this Agreement is necessary to protect the business and goodwill of the Bank and any breach of the covenants set forth in Section 10 hereof above will cause irreparable damage to the Company Bank with respect to which the CompanyBank’s remedy at law for damages will be inadequate. Therefore, in the event of breach or anticipatory breach of the covenants set forth in this section by Executive, Executive and the Company Bank agree that the Company Bank shall be entitled to seek the following particular forms of relief, in addition to any remedies otherwise available to it at law or equity: (Ai) injunctions, both preliminary and permanent, enjoining or restraining retraining such breach or anticipatory breach and Executive hereby consents to the issuance thereof forthwith and without bond by any court of competent jurisdiction; and (Bii) recovery of all reasonable sums as determined by a court of competent jurisdiction expended and costs, including reasonable attorney’s fees, incurred by the Company Bank to enforce the covenants set forth in this section.Section 10.
