Right to Information and Confidentiality. 8.1. The Independent Supervisory Council Member shall be entitled to gain access to any documents and information of the Company and its subsidiaries, controlled both directly and/or indirectly (except for such documents and information that is directly and/or indirectly related to the data, documents and/or information of counterparties of the Company and its directly and/or indirectly controlled subsidiaries and which has been obtained, learnt or otherwise acquired according to a procedure prescribed by law for the counterparties of the Company and its directly and/or indirectly controlled subsidiaries), and such information shall be systematised, at the request of the Independent Supervisory Council Member, according to reasonable criteria specified by the Independent Supervisory Council Member. In cases where the documents or information on the Company’s directly and/or indirectly controlled subsidiaries is not available to the Company, the Company shall immediately take steps to obtain such documents and information including through exercise of the rights attached to the shares held by the Company in its subsidiaries.

The Board member has the right of access to all documents of the Company and its direct and / or indirect subsidiaries, and all information of the Company and its direct and / or indirect subsidiaries (except such documents and information which are directly and / or indirectly related to the data, documents and information of the contractors of the Company and its direct and / or indirect subsidiaries acquired, learned or otherwise legally acquired by the contractors of the Company and its direct and / or indirect subsidiaries) that, at the request of the Board member, may be systematized according to the reasonable criteria specified by the Board member. If the Company does not have the requested documents or information of the Company's direct and / or indirect subsidiaries, the Company undertakes to take immediate actions to receive such documents and information, including the exercise of the rights conferred by the shares of the subsidiaries held by the Company.

  • Publicity and Confidentiality 12.1 Publicity. Partner will keep confidential and will not disclose, market or advertise to third parties the terms of this Agreement (including the fees paid hereunder). Partner or Red Hat may reference its relationship with the other, in the normal course of business including during earnings calls, discussions with analysts, meetings with the press, customer briefings, general marketing activities and in regulatory filings. Neither Party will issue formal press releases or other similar activities referencing the other Party without the written consent of the other Party.

  • Right to Information The City of Xxxxxx reserves the right to use any and all information presented in any response to this contract, whether amended or not, except as prohibited by law. Selection of rejection of the submittal does not affect this right.
