Retention Services. Client hereby retains Navidec as a consultant to Client, and Navidec agrees to render consulting services, as defined in Exhibit A attached hereto, to Client, upon the terms and conditions set forth in this Agreement. Notwithstanding any other provision of this Agreement, Client shall have the sole right to approve any arrangements proposed by Navidec with regard to the performance of the services Navidec is to provide hereunder.
