Common use of Restrictions in Employment Agreement Clause in Contracts

Restrictions in Employment Agreement. Notwithstanding anything to the contrary in this Agreement, Employee acknowledges and agrees that the provisions relating to restrictions (the “Restrictions”) with respect to return of property, nondisparagement, confidential information, nonsolicitation and noncompetition contained in the Employment Agreement shall remain in full and force and effect in accordance with the terms of the Employment Agreement. Employee will forfeit any right to receive the payments or benefits described in this Agreement if Employee violates any of the Restrictions; provided that, if the Termination Date occurs on or after the occurrence of a Change in Control (as defined in the Employment Agreement), the equitable remedies set forth in Section 10(f) of the Employment Agreement shall be the only remedies available to the Company.
