Common use of Resignation Clause in Contracts

Resignation. The Member may at any time resign from the Company. If the Member resigns pursuant to this Section 19, an additional member shall be admitted to the Company, subject to Section 20 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The Member may at any time resign from the Company. If the Member resigns pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, and the Company shall be continued and such resignation shall not result in a dissolution of the Company if such instrument is executed within 180 days after such resignation. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The Member may at any time resign from the Company. If the Member resigns pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this AgreementAgreement and the Company shall be continued and such resignation shall not result in a dissolution of the Company if such instrument is executed within 180 days after such resignation. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The Member may at any time resign from the Company. If the Member resigns pursuant to this Section 1917, an additional member Member shall be admitted to the Company, subject to Section 20 18 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 hereof21, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19, Company only if an additional member shall be admitted to the Company, subject to Section 20 hereofCompany as the Member, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement; provided that any resignation of the Member and any admission of an additional member shall be filed with and approved by the SEC under Section 19 of the Exchange Act and the rules promulgated thereunder. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the a Member resigns is permitted to resign pursuant to this Section 1922 and there are no other Members, an additional member Member shall be admitted to the Company, subject to Section 20 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement23. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member Member of the Company.

Resignation. The Member If the Company has more than one member, any member may at any time resign from the CompanyCompany with the written consent of the remaining members. If the Member resigns a member is permitted to resign pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 hereof20, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 1921, an additional member Member shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member Member of the Company.

If the a Member resigns is permitted to resign pursuant to this Section 1920, an additional member shall of the Company may be admitted to the Company, subject to Section 20 hereof21, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 1917, an additional member Member shall be admitted to the Company, subject to Section 20 18 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignationresignation of the resigning Member, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The A Member may at any time not resign from the CompanyCompany except with the prior written consent of the other Members. If the a Member resigns is permitted to resign pursuant to this Section 1923, and an additional member shall of the Company is to be admitted to as a substitute member of the Company, such admission shall be subject to Section 20 22 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, resignation and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The A Member may at any time resign from the CompanyCompany with the written consent of the Member. If the a Member resigns is permitted to resign pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 hereof17, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The Member may resign from the Company at any time resign from with written notice to the Company. If the Member resigns pursuant to this Section 1924, an additional member shall a person may be admitted to the Company, subject to Section 20 hereof, Company as an additional Member of the Company upon its the written consent of the resigning Member and such person’s execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such If a person is admitted to the Company as an additional Member of the Company in connection with the resignation of the Member pursuant to this Section 24, such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member Member of the Company.

Resignation. The A Member may at any time resign from the CompanyCompany with the written consent of the Initial Member. If the Member resigns pursuant to this Section 19Member, so long as an additional member Person shall be admitted as a member to the Company, subject to Section 20 hereof20, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such admission shall be deemed effective immediately prior to the resignation, resignation and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The Member may at any time resign from the Company. If the Member ----------- resigns pursuant to this Section 19, an additional member shall be admitted to the Company, subject to Section 20 hereof20, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, resignation and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19, an additional member shall be admitted to the Company, subject to Section 20 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19; provided, however, that an additional member shall be admitted to the Company, subject to Section 20 8.1 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The Member may at any time resign from the Company. If the Member resigns pursuant to this Section 19, an additional member shall be admitted to the Company, subject to Section 20 hereof, upon its such additional member's execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If ; provided, that in the Member resigns pursuant to this Section 19, event of such resignation an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the Member's resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company. 19.

Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the a Member resigns is permitted to resign pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 hereof19, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19; provided, however, that an additional member shall be admitted to the Company, subject to Section 20 21 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19, an additional member Member shall be admitted to the Company, subject to Section 20 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If ; provided, that in the Member resigns pursuant to this Section 19, event of such resignation an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the Member's resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company. 20.

Resignation. The Member may at any time not resign from unless the CompanyMember has caused another Person to be admitted as a member of the Company prior to such resignation. If the Member resigns pursuant to this Section 1919(b), an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof19(c), upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such admission shall be deemed effective immediately prior to the resignation, resignation and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the a Member resigns is permitted to resign pursuant to this Section 19, an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof18, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19, Company unless an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof20, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Such admission shall be deemed effective immediately prior to the resignation, resignation and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The Member may at any time resign from the Company. If the Member resigns pursuant to this Section 19resigns, an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof22, upon its such additional member’s execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such admission shall be deemed effective immediately prior to before the resignation, resignation and, immediately following after such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The A Member may at any time resign from the CompanyCompany at such Member’s discretion. If the a Member resigns pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 hereof20, upon its such additional member’s execution of an instrument signifying its his or her agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company. In such event, the Company shall not dissolve if the business of the Company is continued without dissolution in accordance with Section 21(a)(iii).

Resignation. The Member may at any time resign from the Company. If ; provided, however, that if the Member resigns pursuant to this Section 19resigns, an additional member shall be admitted to the Company, subject to Section 20 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If ; provide, that in the Member resigns pursuant to this Section 19, event of such resignation an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the Member's resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company. 20.

If the Member resigns pursuant to this Section 19Section, an additional member shall be admitted to the Company, subject to Section 20 14 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The A Member may at any time resign from the Company. If the a Member resigns pursuant to this Section 19from the Company and there are no other members of the Company at the time, an additional member a new Member shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If the Member resigns pursuant to this Section 19; provided, however, that an additional member shall be admitted to the Company, subject to Section 20 17 hereof, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Resignation. The No Member may at any time resign from the CompanyCompany without the written consent of the Deciding Members. If the a Member resigns elects to resign pursuant to and in accordance with this Section 1922, an additional member shall may be admitted to the Company, subject to Section 20 hereof20, upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

Such admission shall be deemed effective immediately prior to the resignation, resignation and, immediately following such admission, the resigning Member shall cease to be a member of the Company.

If ; provided, however, that in the Member resigns pursuant to this Section 19, event of such resignation an additional member of the Company shall be admitted to the Company, subject to Section 20 hereof, Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement. Such admission shall be deemed effective immediately prior to the Member's resignation, and, immediately following such admission, the resigning Member shall cease to be a member of the Company. 20.
