Resignation by the Executive for Good Reason. The Executive may resign his from employment with under this Agreement for Good Reason by giving notice to the Company as described in Section 5.8. In the event the Executive resigns from employment for Good Reason: the Company shall pay or provide to the Executive (i) any Accrued Obligations; (ii) the Prorated Bonus; and (iii) subject to Section 5.7 hereof, the Severance Benefit described in Section 5.1(ii)(c).
