Common use of Research Program Clause in Contracts

Research Program. Subject to the terms and conditions of this Agreement, MERCK hereby grants to ARCHEMIX and its Affiliates a non-exclusive, royalty-free, worldwide license during the Research Program Term, including the right to subcontract as provided in Section 8.5, under MERCK Technology and MERCK Patent Rights and MERCK’s interest in Joint Technology and Joint Patent Rights, for the sole purpose of conducting the Research Program.

Research Program. Subject to the terms and conditions of this Agreement, MERCK ARCHEMIX hereby grants to ARCHEMIX MERCK and its Affiliates a non-exclusive, royalty-free, worldwide license during the Research Program Term, including the right to subcontract grant sublicenses as provided in Section 8.5Sections 7.3 and 7.4, under MERCK Licensed Technology and MERCK Patent Rights and MERCK’s interest in Joint Technology and Joint Licensed Patent Rights, for the sole purpose of conducting MERCK Research Activities in the Research Program.
