Requests by Affiliates. An Affiliate which is listed in Exhibit 4 has the right to request Access Rights to Background or Foreground at market terms. Access Rights may be refused to an Affiliate if they would be contrary to the legitimate interests of the Party which owns the Background or Foreground.

Requests by Affiliates. An Affiliate has Access Rights to Background or Foreground under the same conditions as the party to which it is affiliated. Access Rights for Exploitation can only be applied for by an Affiliate to the extent that Exploitation of the Foreground in connection with which the Access Rights are to be applied for was entrusted to that Affiliate. Access Rights may be refused to an Affiliate if they would be contrary to the legitimate interests of the party which owns the Background or Foreground.
Requests by Affiliates. An Affiliate has Access Rights to Background or Foreground under the same conditions as the Partner to which it is affiliated; provided, however, that Access Rights granted to an Affiliate under article 7.5.3 may be subject to the payment of an additional fee to the extent that granting Access Rights at no cost would conflict with the State Aid Framework for R&D&I. Notwithstanding the foregoing, Access Rights for Exploitation can only be applied for by an Affiliate to the extent that Exploitation of the Foreground in connection with which the Access Rights are to be applied for was entrusted to that Affiliate. Access Rights may be refused to an Affiliate if they would be contrary to the legitimate interests of the Partner which owns the Background or Foreground.

  • Agreements by Third Parties Business Associate shall enter into an agreement with any subcontractor of Business Associate that creates, receives, maintains or transmits PHI on behalf of Business Associate. Pursuant to such agreement, the subcontractor shall agree to be bound by the same or greater restrictions, conditions, and requirements that apply to Business Associate under this Addendum with respect to such PHI.

  • REQUESTS FOR DATA BY THIRD PARTIES Unless prohibited by law, Contractor shall notify the Authorized User in Writing within 24 hours of any request for Data (including requestor, nature of Data requested and timeframe of response) by a person or entity other than the Authorized User, and the Contractor shall secure Written acknowledgement of such notification from the Authorized User before responding to the request for Data.   • HELP FOR PERSONS AFFECTED BY ALCOHOL AND/OR OTHER DRUGS The OH&S Committee and management will provide information and assistance to persons seeking help for alcohol/drug problems or related problems, confidentially and without prejudice. • Sick leave or leave without pay may be negotiated to enable participation in rehabilitation or counselling. • No-one will be disadvantaged in the workplace as a result of undertaking a rehabilitation program.

  • Persons Affected by Alcohol and/or Other Drugs 3.1 A person who is under the influence of alcohol and/or any other drug will not be allowed to work on a building site whilst he/she is incapable of performing safe work practices.

  • Voluntary Requests for Assistance The Employer shall take no adverse action against an employee who voluntarily seeks treatment or counseling. The Employer shall assist an employee seeking assistance by making available means by which referrals or treatment may be obtained (Employee Assistance Program). Such assistance shall be obtained at the employee's expense.

  • Access to Persons and Records The State Auditor shall have access to persons and records as a result of all contracts or grants entered into by State agencies or political subdivisions in accordance with General Statute 147-64.7. Additionally, as the State funding authority, the Department of Health and Human Services shall have access to persons and records as a result of all contracts or grants entered into by State agencies or political subdivisions.

  • CALCULATIONS TO BE MADE BY THIRD PARTY All calculations under this Agreement shall be made annually by an independent third party (the “Third Party”) selected and appointed each year by the District, subject to approval by Applicant in writing, which approval shall not unreasonably be withheld.

  • Relationship to Other Disclosures The information in these Disclosures applies only to the Services described herein. Provisions in other disclosure documents, as may be revised from time to time, remain effective for all other aspects of the Account.

  • Requests for Assistance 1. Requests for assistance shall be made in writing, signed by the Chairman of the Requesting authority and addressed to the contact person of the Requested Authority listed in Annex A.

  • Suits by the Corporation The Corporation shall have the right to enforce full payment of the Exercise Price of all Common Shares issued by the Warrant Agent to a Registered Warrantholder hereunder and shall be entitled to demand such payment from the Registered Warrantholder or alternatively to instruct the Warrant Agent to cancel the share certificates and amend the securities register accordingly.
