Agreements by Third Parties. Business Associate shall enter into an agreement with any subcontractor of Business Associate that creates, receives, maintains or transmits PHI on behalf of Business Associate. Pursuant to such agreement, the subcontractor shall agree to be bound by the same or greater restrictions, conditions, and requirements that apply to Business Associate under this Addendum with respect to such PHI.
Agreements by Third Parties. Business Associate shall ensure that any agent (including a subcontractor) to whom it provides PHI received from Covered Entity or created or received by Business Associate on behalf of Covered Entity agrees in a written agreement to the same restrictions and conditions that apply through this Agreement to Business Associate with respect to such PHI. For example, the written contract must include those restrictions and conditions set forth in Section 14. Business Associate must enter into the written agreement before any use or disclosure of PHI by such agent. The written agreement must identify Covered Entity as a direct and intended third party beneficiary with the right to enforce any breach of the agreement concerning the use or disclosure of PHI. Business Associate shall provide a copy of the written agreement to Covered Entity upon request. Business Associate may not make any disclosure of PHI to any agent without the prior written consent of Covered Entity.
Agreements by Third Parties. Business Associate shall obtain satisfactory contractual assurances from any agent or subcontractor who will have access to PHI that is created, received, maintained, or transmitted on behalf of the Business Associate, that the agent or subcontractor agrees to be bound by the same restrictions, terms and conditions that apply to Business Associate through this BAA with respect to PHI. Business Associate shall require that any agent or subcontractor notify Business Associate of any instances in which PHI is used or disclosed in an unauthorized manner. Business Associate agrees to notify Covered Entity within five (5) working days of any such unauthorized use or disclosure. Business Associate shall take steps to cure the breach of confidentiality and end the violation, or shall terminate the agency agreement or subcontract.
Agreements by Third Parties. Business Associate shall obtain and maintain an agreement with each agent or subcontractor that has or will have access to Protected Health Information, which is received from, or created or received by Business Associate on behalf of the Covered Entity, pursuant to which agreement such agent or subcontractor agrees to be bound by the same restrictions, terms and conditions that apply to Business Associate pursuant to this Addendum with respect to such Protected Health Information.
Agreements by Third Parties. The Data User shall obtain and maintain an agreement with each agent or subcontractor that has or will have access to the Limited Data Set, which is received by or on behalf of the Data User, pursuant to which agreement such agent or subcontractor shall agree to be bound by the same restrictions, terms and conditions that apply to the Data User pursuant to this Agreement with respect to the Limited Data Set. The Data User shall ensure that such agents or subcontractors agree to implement reasonable and appropriate safeguards to protect the confidentiality, integrity, and availability of the Limited Data Set.
Agreements by Third Parties. Agent shall enter into an agreement with any agent or subcontractor that will have access to PHI that is received from, or created or received by Agent on behalf of, Company pursuant to which such agent or subcontractor agrees to be bound by the same restrictions, terms, and conditions that apply to Agent pursuant to this Business Associate Agreement with respect to such PHI, including those safeguards described in Section 3 above..
Agreements by Third Parties. To the extent required under HIPAA or other applicable law, if PHO enters into any agreement with an agent, subcontractor, or any other third party to which PHO will either disclose or permit access to Provider’s Protected Health Information, such agreements shall require the agent, subcontractor or other third party to be bound by the same restrictions, terms conditions, and required disclosures that apply to PHO pursuant to this Agreement.
Agreements by Third Parties. The Management Company will obtain and maintain an agreement with each agent or subcontractor that has or will have access to PHI, pursuant to which such agent or subcontractor agrees to be bound by the same restrictions, terms and conditions that apply to the Management Company pursuant to this Agreement with respect to such PHI.
Agreements by Third Parties. Agent shall enter into and maintain an agreement with each agent and subcontrac- tor that has or will have access to Protected Health Information under which the agent or subcontractor is legally bound by the same restrictions with respect to Protected Health Information that apply to Agent pursuant to this Addendum.
Agreements by Third Parties. Vendor shall obtain and maintain a written agreement meeting the requirements of 45 C.F.R. §§ 164.504 (e) and 164.314(a)(2) with each Subcontractor (including, without limitation, a Subcontractor that is an agent under applicable law) that creates, receives, maintains or transmits PHI on behalf of Vendor. Vendor shall ensure that the written agreement with each Subcontractor obligates the Subcontractor to comply with same restrictions, terms and conditions that apply to Vendor pursuant to this Agreement with respect to such PHI.
