Representations Regarding Brokers. Each party to this Agreement represents and warrants to each other party that no one acted as a broker, a finder or in any similar capacity in connection with the transactions which are the subject of this Agreement. Each party to this Agreement indemnifies the other party against, and agrees to hold the other party harmless from, all liabilities and expenses (including reasonable attorneys fees) in connection with any claim by anyone for compensation as a broker, a finder or in any similar capacity by reason of services allegedly rendered to the indemnifying party in connection with the transactions which are the subject of this Agreement.
Representations Regarding Brokers. Seller and Buyer each represent and warrant to the other that it has not employed, retained, or consulted any broker, agent, or finder in connection with this Agreement or the purchase and sale referred to herein. Seller and Buyer each hereby indemnify and agree to hold the other harmless from and against any and all claims, demands, causes of action, debts, liabilities, judgments and damages (including costs and reasonable attorneys' fees incurred in connection with the enforcement of this indemnity) which may be asserted or recovered against the indemnified party for or on account of any brokerage fee, commission, or other compensation arising by reason of the indemnitor's breach of this representation and warranty.
Representations Regarding Brokers. Except as specifically set forth in SECTION 22.2 hereof, Seller and Purchaser each represent and warrant to the other that neither has employed, retained or consulted any broker, agent, or finder in carrying on the negotiations in connection with this Agreement or the purchase and sale referred to herein, and Seller and Purchaser each hereby indemnify and hold the other harmless from and against any and all claims, demands, causes of action, debts, liabilities, judgments and damages (including costs and reasonable attorneys' fees incurred in connection with the enforcement of this indemnity) which may be asserted or recovered against the indemnified party on account of any brokerage fee, commission or other compensation arising by reason of the indemnitor's breach of this representation and warranty. The obligations of the parties pursuant to this SECTION 22.1 shall survive the Closing or any earlier termination of this Agreement.
Representations Regarding Brokers. Seller represents and warrants that it has not employed any brokers or finders in connection with the transactions contemplated hereby other than Xx. Xxxxx X. Poropat, of Xxx & Associates, who was employed by Seller (“Seller’s Broker”). Buyer represents and warrants that it has not employed any brokers or finders in connection with the transaction contemplated hereby other than Xxxx Xxxxx, of L.A. Realty Partners, who was employed by Buyer (“Buyer’s Broker”). Seller shall indemnify, save, defend and hold Buyer free and harmless from and against any and all obligations or liabilities to pay any real estate broker’s commission, finder’s fee, or other compensation to any person, firm or entity (other than Seller’s Broker or Buyer’s Broker) arising from or in connection with this Agreement or the Property which results from any act or agreement of Seller. Buyer shall indemnify, save, defend and hold Seller free and harmless from and against any and all obligations or liabilities to pay any real estate broker’s commission, finder’s fee, or other compensation to any person, firm or entity (other than Seller’s Broker or Buyer’s Broker) arising from or in connection with this Agreement or the Property which results from any act or agreement of Buyer.
Representations Regarding Brokers. Seller represents and warrants that it has engaged CBRE, INC. as its real estate broker and/or agent in connection with the transaction described in this Agreement and shall be solely liable and responsible for such commission. Buyer represents and warrants that it has not engaged any real estate broker and/or agent in connection with the transaction described in this Agreement. Seller represents and warrants to Buyer that Seller has not dealt with any other real estate broker, agent or finder in connection with the transaction described in this Agreement, except as listed herein.
Representations Regarding Brokers. Vendor, if this transaction closes, shall pay any commission to Duke & Company Realty, Inc. (Vendor's Agent). Vendor and Purchaser each represent and warrant to the other that neither has employed, retained or consulted any other broker or agent, in carrying on the negotiations in connection with this Agreement or the purchase and sale described herein, and Vendor and Purchaser shall each indemnify and hold the other harmless from and against any and all claims, demands, causes of action, debts, liabilities, judgments and damages (including costs and reasonable attorneys' fees incurred in connection with the enforcement of this indemnity) which may be asserted or recovered against the indemnitor's breach of this representation and warranty. The indemnity in this paragraph shall survive the closing or any termination of this Agreement.
Representations Regarding Brokers. Except for the broker --------------------------------- identified in Subsection 18.2 hereof, the Contributors and the Partnership each represent and warrant to the other that they have not employed, retained, or consulted any broker, agent, or finder in connection with this Agreement or the Transaction, and the Contributors and the Partnership each hereby indemnify and agree to hold the other harmless from and against any and all claims, demands, causes of action, debts, liabilities, judgments and damages (including costs and reasonable attorneys' fees incurred in connection with the enforcement of this indemnity) which may be asserted or recovered against the indemnified party for or on account of any brokerage fee, commission, or other compensation arising by reason of the indemnitor's breach of this representation and warranty. The Contributors' indemnity of the Partnership pursuant to this Section 18.1 encompasses any claims made by the broker identified in Section 18.2. 18.2.
