REPRESENTATIONS AND WARRANTIES REGARDING PARENT AND THE TARGET COMPANIES. As an inducement to SPAC to enter into this Agreement and consummate the transactions contemplated by this Agreement, except as set forth in the applicable section of the Parent Disclosure Letter, Target on behalf of itself and its subsidiaries (including Psyence Australia Pty Ltd.), Merger Sub and NewCo (collectively, the “Target Companies” and each individually, a “Target Company”) and the Parent hereby represent and warrant to SPAC, the following:
