Subject to the exceptions set forth in the disclosure letter of the Primary Shareholders delivered to Purchaser concurrently with the Parties’ execution of this Agreement (the “Shareholder Disclosure Letter”), each of the Primary Shareholders hereby, severally and not jointly, represents and warrants to Purchaser as follows:

Each of the Primary Shareholders, jointly and severally, represent and warrant to the Buyer and the Transitory Subsidiary that the statements contained in this Section 4 are correct and complete as of the date of this Agreement and will be correct and complete in all material respects as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Section 4), except as set forth in Section 9 hereof and on the Disclosure Schedule.
