Representations and Warranties of the Company as to PRC Matters. Except as set forth in the Disclosure Schedules, which Disclosure Schedules shall be deemed a part hereof and shall qualify any representation or otherwise made herein to the extent of the disclosure contained in the corresponding section of the Disclosure Schedules, the Company hereby makes the following representations and warranties to each Purchaser:
Representations and Warranties of the Company as to PRC Matters. (a) The Company conducts substantially all of its operations and generates substantially all of its revenue through (1) Recon Technology (Jining) Co., Ltd, a wholly foreign-owned enterprise formed under the laws of the People's Republic of China (the "PRC") (the "PRC Subsidiary") and (2) the companies formed under the laws of the PRC (the "VIEs") indicated as VIEs on Schedule E hereof. The PRC Subsidiary and the VIEs are collectively referred to hereinafter as the "PRC Entities."
