REPRESENTATIONS AND WARRANTIES OF MORTGAGE PLUS SHAREHOLDERS. 6.1 On November 12, 1997, Mortgage Plus prepared and filed with the Securities and Exchange Commission (the "Commission"), a registration statement (the "Registration Statement") on Form SB-2 (No. 333-____) under the Securities Act of 1933, as amended (the Act"), which Registration Statement was prepared by the Company in substantial conformity with the requirements of the Act. The amended Registration Statement to be filed to reflect the transactions contemplated by this Agreement at the time of filing thereof will not contain an untrue statement of a material fact or omit to state a material fact required to be stated therein and necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.
