REPRESENTATIONS AND WARRANTIES OF MOONSHINE. Moonshine represents, warrants and agrees that all of the statements in the following subsections of this Article II are true and complete as of the date hereof. The disclosure schedule attached hereto as Schedules 2.1 through 2.25, if applicable, (the “Moonshine Disclosure Schedules”) are divided into sections that correspond to the sections of this Article II. The Moonshine Disclosure Schedules comprise lists of all exceptions to the truth and accuracy in all material respects of, and of all disclosures or descriptions required by, the representations and warranties set forth in this Article II.
REPRESENTATIONS AND WARRANTIES OF MOONSHINE. All representations and warranties made by Moonshine in this Agreement shall be true and correct in all material respects on and as of the Closing Date, except insofar as the representations and warranties relate expressly and solely to a particular date or period, in which case, subject to the limitations applicable to the particular date or period, they will be true and correct in all material respects on and as of the Closing Date with respect to such date or period.
