REPRESENTATIONS AND WARRANTIES OF METAL RESOURCES AND THE COMPANY. To induce Purchaser and Parent to enter into this Agreement and Purchaser to purchase the Interests, Metal Resources and the Company hereby represent and warrant to Purchaser as follows:
REPRESENTATIONS AND WARRANTIES OF METAL RESOURCES AND THE COMPANY. The representations and warranties contained in Section 3 of this Agreement and in the Disclosure Schedules applicable thereto shall be true and correct in all material respects as of the date when made and shall be true and correct at and as of the Closing Date, except that those representations and warranties that are qualified by materiality, Material Adverse Effect, or similar phrase shall be true and correct in all respects as written on the date hereof.
