REPRESENTATIONS AND WARRANTIES OF CROSS. In order to induce HHD to execute and perform this Agreement, Cross does hereby represent, warrant, covenant and agree (which representations, warranties, covenants and agreements shall be and be deemed to be continuing and survive the execution and delivery of this Agreement, the Closing and the Effective Time) as follows:
REPRESENTATIONS AND WARRANTIES OF CROSS. Cross hereby represents and warrants to each Stockholder that Cross has all requisite corporate power and authority to enter into this Agreement and to consummate the transactions contemplated hereby. This Agreement has been duly authorized, executed and delivered by Cross and constitutes a valid and binding obligation of Cross enforceable against Cross in accordance with its terms.
REPRESENTATIONS AND WARRANTIES OF CROSS. Cross represents and warrants to Interpore that the statements contained in this Article III are true and correct, except as set forth herein and in the disclosure schedule delivered by Cross to Interpore on or before the date of this Agreement (the "Cross Disclosure Schedule"). The Cross Disclosure Schedule shall be arranged in paragraphs corresponding to the numbered and lettered paragraphs contained in this Article III and the disclosure in any paragraph shall qualify other paragraphs in this Article III only to the extent that it is reasonably apparent from a reading of such disclosure that it also qualifies or applies to such other paragraphs.
