REPRESENTATIONS AND WARRANTIES OF ACE*COMM. ACE*COMM hereby makes the following representations and warranties to i3 as set forth in this Article IV, subject to the exceptions disclosed in writing in the ACE*COMM Disclosure Schedule as of the date hereof (provided, that disclosure made with respect to any Section and/or subsection will also be deemed to be disclosure against other Sections and/or subsections of this Agreement to the extent that it is readily apparent that such disclosure is applicable to such other Section and/or subsections), each of which is being relied upon by i3 as a material inducement to enter into and perform this Agreement. All of the disclosure schedules of ACE*COMM referenced below or otherwise required of ACE*COMM pursuant to this Agreement, which disclosure schedules shall be cross-referenced to the specific sections and subsections of this Agreement and delivered herewith, are referred to herein as the “ACE*COMM Disclosure Schedule.”
