Common use of Recordation of License Clause in Contracts

Recordation of License. Licensor shall record this Agreement as required by the laws of United States and any other countries as Licensee may request as a prerequisite to enforceability of this Agreement in the courts of such countries or for other reasons and any recordation fees, and related costs and expenses shall be at Licensee’s expense.

Upon Licensee's request, Licensor shall make all necessary filings to record this Agreement as in the trademark offices or agencies in any and all countries where it may be required by the laws of United States and any other countries as Licensee may request under applicable law, including as a prerequisite to enforcement of the Licensed Marks or enforceability of this Agreement in the courts of such countries or for other reasons countries, and any recordation fees, fees and related costs and expenses shall will be at Licensee’s Licensor's expense.
