Reasonable Consents Clause Samples
The Reasonable Consents clause requires that any consent, approval, or permission required under the agreement must not be unreasonably withheld, delayed, or conditioned by either party. In practice, this means that when one party seeks approval from the other—for example, to assign rights or make changes—the responding party must consider the request fairly and cannot arbitrarily refuse or stall the process. This clause ensures that both parties act in good faith when consents are needed, preventing one side from using consent requirements to unfairly block or hinder the other party’s legitimate activities.
