Qwest. With respect to changes, modifications, and substitutions that affect the Product as set forth in subsections (i) through (vi) above, Corvis will notify Qwest in writing ninety (90) days prior to their effective dates. In the event any such change is not desired by Qwest, Qwest will notify Corvis within thirty (30) days from the date of notice and Corvis will not furnish any such changed Products to Qwest on any orders in process at the time Corvis is so notified. In no event will Corvis change the Form, Fit, Function, use or performance of any Product if such change causes the ordered Product not to conform to the Technical Requirements. Corvis may discontinue any Product or Software version if Corvis gives Qwest at least one (1) year's notice thereof. In such event, Corvis will provide Qwest with a suggested product replacement which meets or exceeds the Technical Requirements, has substantially the same Form, Fit and Function and is at least equally compatible with Qwest's network components as the discontinued Product it replaces. Qwest will have the right to substitute the replacement product for the Product under this Agreement, at a price to be negotiated by the parties. If Qwest elects not to use the suggested replacement product, Corvis will offer Qwest a one-year period beginning the day of the notice of discontinuance within which Qwest may place orders for the discontinued Product. Qwest may give a last order ("One Time Buy Order") immediately prior to the end ------------------ of the six-month period beginning the day of the notice of discontinuance. The One Time Buy Order is non-cancelable, non-reschedulable and non-returnable, except as otherwise provided in this Agreement, including without limitation Acceptance as set forth in Article 2. Products ordered with the One Time Buy Order will be delivered to Qwest as requested by Qwest but no later than one (1) year after the notice of discontinuance.
Qwest. OIT acknowledges the responsibility to gain written agreement from Qwest Communications Corporation to extend the SOMACS contract and all Amendments and Addenda. The amounts shown in Appendix 2 Compensation as “IXC Monthly Charges” is complete payment of Qwest Communications Corporation’s OIT backbone cost as derived from the Backbone Monthly Recurring Charge in the SOMACS Contract. AT&T will provide to Qwest compensation per the chart in Appendix 2 on a monthly basis.
Qwest and Union shall work cooperatively to develop positive, close working relationships among corresponding work centers involved in the trouble resolution processes.
Qwest. Qwest reserves the right to not approve of a change to a CIC other than the Customer’s or Qwest, Customer understands that it will be responsible for all usage associated with traffic related to an 8XX number that Qwest refused to approve for a CIC change if the call is carried on Qwest’s network.

  • IBM Credit may in its sole discretion from time to time decide the amount of credit IBM Credit extends to Customer, notwithstanding any prior course of conduct between IBM Credit and Customer. IBM Credit may combine all of its advances to make one debt owed by Customer.

  • Cloud Services If You would like to deploy Cloud Services, We grant You and Your Affiliates a non-exclusive, non-transferable, worldwide right to authorize individuals solely within Your and Your Affiliates’ organization (“Users”) to access or exchange data via the Cloud Services during the Term (as defined in Section 8 below), but only for Your own internal business purposes and subject to the terms and conditions of this Agreement and terms associated with the specific Cloud Services contained in the Order and applicable schedule(s). We are not responsible for web pages or servers that are not owned or controlled by Us, even if linked to (including via application programming interfaces) the Cloud Service. We do not endorse any sites on the Internet that are linked through the Cloud Service; such links are provided to You and your Users only as a convenience. In addition, certain third-party providers of ancillary software, hardware or services may require Your agreement to additional or different license or other terms prior to Your or Your Users’ use of or access to such software, hardware or services. Cloud Services offerings may include a limited-use subscription to on- premise Software as described in the applicable schedule(s), and use of such Software must comply with all license terms. Under no circumstances may the Cloud Services be used for any illegal or illicit purpose in any geography where the Cloud Services are used. You must: (i) protect the secrecy of Your authorized user IDs and passwords; (ii) notify Us immediately of any unauthorized use of any user ID or password or any other known or suspected breach of security; and (iii) report to Us immediately and use reasonable efforts to stop any copying or distribution of content not authorized by Us. You agree that anyone who inputs a valid user ID and password will be deemed an appropriate User unless and until You notify Us otherwise in writing. Any individual User who has violated this Section may have its account suspended.

  • CLOUD SERVICE The Cloud Service offering, is described below and is specified in an Order Document for the selected entitled offerings. The Order Document will consist of the Quotation that is provided and the Proof of Entitlement (XxX) you will receive confirming the start date and term of the Cloud Services and when invoicing will commence.

  • Verizon OSS Services 8.2.1 Upon request by CBB, Verizon shall provide to CBB Verizon OSS Services. Such Verizon OSS Services will be provided in accordance with, but only to the extent required by, Applicable Law.

  • Motorola s sole obligation to Licensee and Licensee’s exclusive remedy under this warranty is to use reasonable efforts to remedy any material Software defect covered by this warranty. These efforts will involve either replacing the media or attempting to correct significant, demonstrable program or documentation errors or Security Vulnerabilities. If Motorola cannot correct the defect within a reasonable time, then at Motorola’s option, Motorola will replace the defective Software with functionally-equivalent Software, license to Licensee substitute Software which will accomplish the same objective, or terminate the license and refund the Licensee’s paid license fee.

  • Network Services Preventive care: 100% coverage. Preventive services include, but are not restricted to routine physical exams, routine gynecological exams, routine hearing exams, routine eye exams, and immunizations. A $100 single and $200 family combined annual deductible will apply to lab/diagnostic testing after which 100% coverage will apply. A $50 copay will apply to CT and MRI scans.

  • Network PHARMACY is a retail, mail order or specialty pharmacy that has a contract to accept our pharmacy allowance for prescription drugs and diabetic equipment or supplies covered under this plan. NETWORK PROVIDER is a provider that has entered into a contract with us or other Blue Cross and Blue Shield plans. For pediatric dental care services, network provider is a dentist that has entered into a contract with us or participates in the Dental Coast to Coast Network. For pediatric vision hardware services, a network provider is a provider that has entered into a contract with EyeMed, our vision care service manager.

  • Mobility If, during the course of the Grantee’s employment with the Company or any of its Subsidiaries or during the provision of services to the Company or any of its Subsidiaries, the Grantee relocates to another jurisdiction, the Company reserves the right to modify the terms of this Agreement and/or impose other requirements on the Grantee’s participation in the Plan, on the PSUs and on any shares of Stock acquired under the Plan, to the extent the Company or any of its Subsidiaries determine it is necessary or advisable to comply with local law, rules and/or regulations or to facilitate the operation and administration of the PSU and the Plan, and to require the Grantee to sign any additional agreements or undertakings that may be necessary to accomplish the foregoing. The Grantee agrees to take any and all actions, and consents to any and all actions taken by the Company and its Subsidiaries, as may be required to allow the Company and its Subsidiaries to comply with local laws, rules and regulations in the Grantee’s country of residence (or employment, if different).

  • Telemedicine Services This plan covers clinically appropriate telemedicine services when the service is provided via remote access through an on-line service or other interactive audio and video telecommunications system in accordance with R.I. General Law § 27-81-1. Clinically appropriate telemedicine services may be obtained from a network or non- network provider, and from our designated telemedicine service provider. When you seek telemedicine services from our designated telemedicine service provider, the amount you pay is listed in the Summary of Medical Benefits. When you receive a covered healthcare service from a network or non-network provider via remote access, the amount you pay depends on the covered healthcare service you receive, as indicated in the Summary of Medical Benefits.   • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring per-circuit local loop charges ranging from $152 to $1,504 and non-recurring charges ranging from $200 to $1,000 for DS-1 and DS-3 Access Service at 4 CLLI codes mutually agreed upon by the Customer and the Company.
