Common use of Qualcomm Training Clause in Contracts

Qualcomm Training. Supplier’s personnel will be required to complete training on cybersecurity practices and protecting the proprietary and confidential information of Qualcomm and its affiliates where supplier’s personnel have access to Qualcomm or Qualcomm-affiliate systems containing Data (such as Qualcomm-owned, licensed or leased servers, which may include servers at a colocation site or in a cloud environment (e.g., Qualcomm AWS, Microsoft Azure, or the Google Cloud Platform)). The content of the training will be determined at Qualcomm’s sole discretion. Training will be provided based on Supplier’s access to Qualcomm’s systems. Qualcomm may ask such personnel to certify in writing completion of the training. In addition, Qualcomm may require additional training at various intervals throughout the term of the Agreement. Failure to timely complete any such training will be considered a material breach of the Agreement and could result in delayed access to the facility and/or data center. Supplier will be responsible for any delay in the services caused by failure of its personnel to timely complete such training.
