Purchase of Asset. An asset or part of it may be purchased by a company or Joint Venture (JV). Valuation is not difficult where cash transactions are involved. Where shares are involved either as the total payment or partial, the share component may be ignored or it may be necessary to make a separate value of the shares as a first step.
Purchase of Asset. The Vendor agrees to sell and assign and the Purchaser agrees to buy the Asset as and from the Vendor at close of business on the Closing Date for an aggregate purchase price equal to the Basic Purchase Price.
Purchase of Asset. Subject to the terms and conditions of this Agreement, Sorrento hereby purchases from Aardvark, and Aardvark hereby sells, coveys, assigns, transfers and delivers the LDN Project Asset to Sorrento.
Purchase of Asset. The Seller hereby sells to the Buyer and the Buyer hereby purchases from the Seller, on the terms and conditions set forth in this Agreement, the Crystal Mountain Colorado Pegmatite Project (the “Project” or the “Asset”). An executive summary of the Project and list of unpatented mining claims comprising the Project is set forth in Appendix A attached to this Agreement. For the avoidance of doubt, the purchase and sale transaction provided for herein is limited to the Asset specifically described in this Agreement and Appendix A hereto.
