PROTOTYPE SERVICES. Buyer may engage Seller to render prototyping services in connection with Products to be manufactured hereunder. In the event that Buyer desires to engage Seller to render such services, the Parties shall execute a Statement of Work which shall be in the form attached hereto as Exhibit J or as otherwise mutually agreed, which shall include a description of the services to be rendered, any milestones or delivery dates or other terms relevant to such engagement.

PROTOTYPE SERVICES. If applicable and upon Agilent's acceptance of Flextronics quote, Flextronics will design and develop Prototypes and Test Software for each Product and will perform the additional services set forth below or as otherwise agreed to in the Addendum. Prototypes will be delivered to the Agilent Business responsible for that Product. If there is no responsible Agilent Business or more than one responsible Business, then the Agilent Global Account Manager will determine which Agilent Business will receive and test the Prototypes as contemplated below. 3.1.1 Flextronics will utilize the Test Software to test the Prototypes to verify that they comply with and perform to the applicable Product Requirements, and document the tests conducted and the results obtained. 3.1.2 Flextronics will deliver the mutually agreed number of Prototypes of each Product for acceptance or rejection by Agilent. 3.1.3 The Agilent Manager will provide Flextronics written notice of its acceptance or rejection of the Prototypes within thirty (30) days after receipt. In the event of the rejection of a Prototype, the Agilent Manager will inform Flextronics of the reasons for the rejection in the written notice. 3.1.4 In the event a Prototype is rejected, Flextronics will use all available resources to remedy the problems, re-test the Prototype and resubmit the Prototype for review. 3.1.5 If Flextronics is unable to deliver an acceptable Prototype within 20 days, Flextronics will cover the cost of expedite charges should the prototype fail for manufacturing or workmanship issues.
PROTOTYPE SERVICES. From time to time during the Term, Com21 may desire Manufacturer's help in building Prototypes. In these instances, Com21 shall notify Manufacturer of its desire, shall furnish to Manufacturer preliminary design information and the Parties shall cooperate as described in Exhibit 14.

Core HR Software Service is a system of interactive web pages to assist Customer in its human resource related recordkeeping and reporting. Customer shall ensure the accuracy of its Customer Data. The HR Software Services shall function in accordance with the Documentation, as may be amended from time to time, and provide features to aid Customer with its compliance with federal and state laws and regulations applicable to Human Resources (except as stated otherwise in the Documentation). 2.2. Recruiting Software Service is a system of interactive web pages to assist Customer in posting job requisitions, storing candidates, recording job applications, and the related recordkeeping and reporting. Customer shall ensure the accuracy of its Customer Data. The Recruiting Software Service shall function in accordance with the Documentation which may be amended from time to time.
