Common use of Professional Fee Clause in Contracts

Professional Fee. (a) In consideration of the Independent Monitor performing the IM Services in accordance with this Agreement, the Independent Monitor will be paid the Professional Fee by the Government in accordance with the Contract Particulars. (b) The Professional Fee includes all disbursements and expenses (including accommodation, equipment, car hire, fees in respect of the support staff and Key People and travel expenses), overheads and profit required to perform the IM Services. (c) The Professional Fee is: (i) inclusive of all taxes, charges, imports and fees of any nature; and (ii) subject to annual escalation at 3% (three per cent) per annum.
