Professional Fee. As a portion of the total compensation to be paid to CONSULTANT, DISTRICT shall pay the Professional Fee, subject to the agreed Professional Fee Ceiling of $(dollars) as specified in Exhibit B-1, as profit for services rendered by CONSULTANT covered by this Agreement. CONSULTANT shall earn the Professional Fee based on a (insert rate) percent markup of CONSULTANT's Direct Labor and Indirect Costs billed and approved.
