Premises Specified as Security Under Mortgage or Deed of Trust. This Lease shall be subordinate to the lien of any mortgage or deed of trust which may now exist for which the Premises is specified as security; provided that Landlord shall deliver to Tenant non-disturbance agreements from all beneficiaries in forms reasonably satisfactory to Tenant [no later than ten (10) days after the Effective Date] OR [simultaneously with the execution and delivery of this Lease]. Notwithstanding anything to the contrary contained herein, no Rent shall accrue under this Lease, nor shall Tenant have any obligation to perform the covenants or observe the conditions herein contained until such non-disturbance agreement shall have been so delivered to Tenant.

  • Title to Properties; Possession Under Leases (a) Such Borrower and each of its Subsidiaries have good and marketable title to, or valid leasehold interests in, all its material properties and assets, except for minor defects in title that do not materially interfere with its ability to conduct its business as currently conducted or to utilize such properties and assets for their intended purposes.

  • Deed of Trust If the related Mortgage is a deed of trust, a trustee, duly qualified under applicable law to serve as such, is properly designated and serving under such Mortgage.
