Pre-Launch Development. (a) The General Partner and the Marketing Agent will develop the Fund and its marketing plan prior to the effective date of the Registration Statement in accordance with the provisions of this Section 6.1 and the marketing strategy as described in Exhibit C. (b) The General Partner and the Marketing Agent will use commercially reasonable efforts to commit sufficient resources to finalize the Registration Statement and the governing documents of the Fund and the Fund’s service providers, communicate with the Commission to obtain approval of the Registration Statement and communicate with the NYSE Arca to obtain approval of the listing of the Units on the NYSE Arca.

Pre-Launch Development. 4.1 PRE-LAUNCH DEVELOPMENT SERVICES. Orbitz will use its commercially reasonable efforts to provide Airline with dedicated resources to perform the Pre-Launch Development Services and will use its commercially reasonable efforts to develop the Airline-Specific Software and the Core Software described in the Specifications. Airline will promptly respond to Orbitz's requests for information regarding such efforts and will provide Orbitz the assistance that Orbitz may reasonably require to complete the Pre-Launch Development Services. Upon completion of such development efforts, Orbitz will make the Orbitz Software available to Airline for testing.
Pre-Launch Development. Subject to the terms and conditions of this Agreement and existing market conditions: (a) The Issuer and the Marketing Agent will develop the marketing plan with respect to the Notes in accordance with the provisions of this Section 6.1. (b) The Issuer and the Marketing Agent will use their commercially reasonable efforts to commit sufficient resources to: (i) Finalize amendments to the Registration Statement, the Indenture, the Master Agency Agreement and the Prospectus necessary or desirable in connection with the marketing of the Notes, communicate with the Commission to obtain approval any necessary no-action relief and communicate with the applicable Exchange to obtain approval of the listing of the Notes on the Exchange; and (ii) develop the content and information to be used on the Marketing Agent’s website with respect to the Notes and coordinate the filing of the same by the Issuer as a Free Writing Prospectus with the Commission;
