Possession of Franchises, Licenses. The Borrower possesses all franchises, certificates, licenses, permits and other authorizations from governmental political subdivisions or regulatory authorities, free from burdensome restrictions, that are necessary in any material respect for the ownership, maintenance and operation of its properties and assets, and the Borrower is not in violation of any thereof in any material respect.
Possession of Franchises, Licenses. The Credit Parties have in their possession, or have timely applied for, all franchises, certificates, licenses, permits and other authorizations from governmental political subdivisions or regulatory authorities, that are necessary in any material respect for the ownership, maintenance and operation of each Property, and none of the Credit Parties is in violation of any thereof in any material respect.

The Company and each of its Subsidiaries possesses all franchises, certificates, licenses, permits and other authorizations from governmental political subdivisions or regulatory authorities, free from burdensome restrictions, that are reasonably necessary in any material respect for the ownership, maintenance and operation of its respective properties and assets, and none of the Company or any of its Subsidiaries is in violation of any thereof in any material respect.

Possession of Franchises, Licenses. Each of the Borrowers possesses all franchises, certificates, licenses, permits and other authorizations from governmental political subdivisions or regulatory authorities, free from burdensome restrictions, that are necessary in any material respect for the ownership, maintenance and operation of their respective properties and assets, and none of the Borrowers is in violation of any thereof in any material respect.
Possession of Franchises, Licenses. Etc. Except as set forth in Schedule 3.7, the Company holds all material permits, licenses, registrations, franchises, approvals, exemptions and other authorizations ("Permits") necessary to own, lease or otherwise operate the Business as presently conducted by the Company. Except as set forth on Schedule 3.7, all of the Permits are valid and are in full force and effect and no event of default has occurred relating thereto. All such Permits are set forth on Schedule 3.7 (except for Permits issued under or pursuant to applicable Environmental Laws which are set forth in Schedule 3.17).

To the best of Borrowers’ knowledge, Borrowers possess all franchises, certificates, licenses, permits and other authorizations from governmental political subdivisions or regulatory authorities, free from burdensome restrictions, that are necessary in any material respect for the ownership, maintenance and operation of its properties and assets, and Borrowers are not in violation of any thereof in any material respect. 7.9 Leases, Easements and Rights of Way. To the best of Borrowers’ knowledge, Borrowers enjoy peaceful and undisturbed possession of all leases, easements and rights of way necessary in any material respect for the operation of his properties and assets, none of which contains any unusual or burdensome provisions that might materially affect or impair the operation of such properties and assets. All such leases, easements and rights of way are valid and subsisting and are in full force and effect. 7.10
Possession of Franchises, Licenses. Etc. Borrower possesses all franchises, certificates, licenses (other than those licenses which cannot be issued or transferred until after the closing of the purchase of the assets from Kinder-Care) permits, tags, decals and other authorizations from governmental or political subdivisions or regulatory authorities relating to the business of Borrower, and all patents, trademarks, service marks, trade names, copyrights, licenses and other rights, free from burdensome restrictions, that are necessary for the ownership, maintenance and operation of any of its properties and assets, and Borrower is not in violation of any thereof.
Possession of Franchises, Licenses. Except as set forth in the Perfection Certificate and except to the extent the failure to have or maintain or violate, as applicable, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect, each Loan Party and each of its Subsidiaries has all franchises, certificates, licenses, permits and other authorizations from governmental or political subdivisions or regulatory authorities, free from burdensome restrictions, that are necessary in any material respect for the ownership, maintenance and operation of its properties and assets, and no Loan Party nor any of its Subsidiaries is in violation of any thereof in any material respect.
