Common use of Positions and Duties Clause in Contracts

Positions and Duties. As of the Effective Date, Executive will serve as Senior Vice President and Chief Financial Officer of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Chief Executive Officer, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Positions and Duties. As of the Effective Date, Executive will serve as Senior Vice President and Chief Financial Officer Head of Research of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Chief Executive Officer, to whom . Executive will reportreport to the Company’s Chief Executive Officer. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Positions and Duties. As Effective as of the Effective Date, Executive will serve as Senior Vice President and President, Chief Financial Officer of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Chief Executive Officer, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Positions and Duties. As of the Effective Date, Executive will serve as Senior Vice President and Chief Financial Officer President, Clinical Development of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Chief Executive Officer, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Positions and Duties. As of the Effective Date, Executive will serve as Senior the Executive Vice President of Research and Development and Chief Financial Technical Officer of the Company, reporting to the Company’s Chief Executive Officer of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Board of Directors and Chief Executive Officer, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term”.”

Positions and Duties. As of the Effective Date, Executive will serve as Senior Vice President President, Business Development & Legal Affairs and Chief Financial Officer General Counsel of the Company. Executive will render such business and professional services in the performance of Executive’s his duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive him by the Company’s Chief Executive Officer, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment TermBoard.”

Positions and Duties. As of the Effective Date, Executive will serve as Senior Vice President and Chief Financial Officer President, Operations of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s 's position within the Company, as will shall reasonably be assigned to Executive by the Company’s Chief Executive Officer, to whom Executive will report. The period of Executive’s at-will employment under the terms of this Agreement is referred to herein as the “Employment Term.”

Executive will render such business and professional services in the performance of Executive’s his duties, consistent with Executive’s position within the Company, as will shall reasonably be assigned to Executive by the Company’s Chief Executive Officer, to whom Executive will reportOfficer (“CEO”). The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Chief Executive OfficerCEO, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Positions and Duties. As Effective as of the Effective Date, Executive will serve as Senior Vice President and President, Chief Financial Medical Officer of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Chief Executive Officer, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Positions and Duties. As of the Effective Date, Executive will continue to serve as Senior Vice President and Chief Financial Officer of the Company, subject to the terms and conditions of this Agreement. Executive will continue to render such business and professional services in the performance of Executive’s his duties, consistent with Executive’s position within the Company, as will shall continue to be reasonably be assigned to Executive him by the Company’s Company and, as such, from and after the date hereof, shall report directly to and shall be subject to the direction of the Chief Executive Officer, to whom Executive will report. The period of Executive’s continued at-will employment under the terms of this Agreement is referred to herein as the “Employment Term.”

Executive will render such business and professional services in the performance of Executive’s his duties, consistent with Executive’s position within the Company, as will shall reasonably be assigned to Executive him by the Company’s Chief Executive OfficerOfficer (the “CEO”) and the Board, to whom Executive will reportincluding managing and overseeing the Bankruptcy. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Positions and Duties. As of the Effective Date, Executive will serve as Senior Vice President President, General Counsel and Chief Financial Officer Corporate Secretary of the Company. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Chief Executive OfficerCEO, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”” It is expressly understood that nothing in the foregoing shall preclude the Company from making any organizational and reporting changes it may deem necessary to most effectively operate the business of the Company.

Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive him by the Company’s Chief Executive Officer, to whom Executive will report. The period of Executive’s employment under this Agreement is referred to herein as the “Employment TermOfficer or his or her designee.”
