Piedmont Shareholder Approval. Piedmont Shareholders approve the Scheme at the Scheme Meeting by the requisite majorities under section 411(4)(a) of the Corporations Act, as modified under section 411(4)(a)(ii)(A) of the Corporations Act or otherwise;
Piedmont Shareholder Approval. This Agreement and the Certificate of Amendment shall each have been duly adopted and approved by the requisite vote of the Common and/or Preferred shareholders of Piedmont, as the case may be, at a meeting of Piedmont’s shareholders.
