Permitted Exceptions to Lock-Up. Notwithstanding Sections 4.1, 6.2 and 6.3 and subject to Section 4.3, in the event of a Third Party Offer, Investor and its Affiliates shall be permitted to agree to tender and to tender or otherwise Transfer any or all of the Shares held by Investor and its Affiliates and to direct the Stichting to tender or otherwise Transfer any or all of the Stichting Shares to the offeror, and the Lock-Up Period shall be deemed not to be in effect so long as the Third Party Offer continues and through the consummation or withdrawal thereof; provided, that after the Third Party Offer is withdrawn or terminates, the limitations set forth in Section 4.1.1 shall again apply.
