Ownership of Participation Interest. The Seller holds of record and owns beneficially the Participation Interest, free and clear of any restrictions on transfer (other than any restrictions under applicable law and the Foundation Documents), Taxes, security interests, mortgages, pledges, liens, encumbrances, charges, options, warrants, purchase rights, contracts, commitments, equities, claims, and demands. The Seller is not a party to any option, warrant, purchase right, or other contract or commitment that could require the Seller to sell, transfer, or otherwise dispose of any charter capital of the Company (other than this Agreement). The Seller is not a party to any voting trust, proxy, or other agreement or understanding with respect to the voting of any charter capital of the Company.

Ownership of Participation Interest. The Seller is the registered legal owner of the Participation Interest beneficially entitled to effect or procure the sale and transfer of such Participation Interest, and such Participation Interest will be fully paid in and free from all options, Taxes, Security Interests, mortgages, pledges, liens, encumbrances, charges, restrictions on transfer, contracts, commitments, demands and other third party rights of any nature whatsoever (other than those expressly provided for in this Agreement, the Charter and the Founding Agreement and/or that may arise by operation of Ukrainian Law). The Seller is not a party to any option, warrant, purchase right, or other contract or commitment that could require the Seller to sell, transfer, or otherwise dispose of any of the Participation Interest (other than this Agreement). The Seller is not a party to any voting trust, proxy, or other agreement or understanding with respect to the voting of the Participation Interest (other than this Agreement).
Ownership of Participation Interest. Upon the Effective Date, B Participant will be the owner of the B Participation; B Participant has not sold, transferred, hypothecated or otherwise disposed of all or any portion of the Participation Interest; and B Participant has acquired the B Participation for its own account for the purpose of investment and not with a view to, or for sale in connection with, any distribution thereof, provided, however, that B Participant has the full right to grant participations in the B Participation and to assign its interest in the B Participation, subject to and in accordance with Section 12 hereof.

  • Ownership of Stock The Selling Shareholders own all of the issued and outstanding shares of capital stock of the Company, free and clear of all liens, claims, rights, charges, encumbrances, and security interests of whatsoever nature or type.
