Other Fees and Out of Pocket Costs. The Borrower shall have paid any and all reasonable out-of-pocket costs incurred by the Administrative Agent (including the fees and expenses Xxxxx & Xxx Xxxxx PLLC as legal counsel to the Administrative Agent), and all other fees and other amounts payable to the Administrative Agent, in each case in connection with the negotiation, preparation, execution and delivery of this Amendment.
Other Fees and Out of Pocket Costs. The Borrower shall have paid any and all reasonable out-of-pocket costs (to the extent invoiced) incurred by the Administrative Agent or Banc of America Securities LLC (including the reasonable fees and expenses of the Administrative Agent’s legal counsel), and all other fees and other amounts payable to the Administrative Agent or Banc of America Securities LLC, in each case in connection with the arrangement, negotiation, preparation, execution and delivery of this Amendment.
Other Fees and Out of Pocket Costs. The Borrower shall have paid or made arrangements to pay contemporaneously with closing any and all reasonable, documented out-of-pocket costs incurred by the Administrative Agent (including the fees, charges and disbursements of Xxxxx & Xxx Xxxxx PLLC as legal counsel to the Administrative Agent) and all other fees and amounts required to be paid to the Administrative Agent pursuant to Section 11.3(a) of the Credit Agreement in connection with this Amendment to the extent invoiced prior to the date hereof.

The Borrower shall have paid any and all reasonable and documented out-of-pocket costs (to the extent invoiced prior to the First Amendment Effective Date) incurred by the Administrative Agent (including the reasonable and documented fees and expenses of Xxxxx & Xxx Xxxxx PLLC), and all other fees and other amounts payable to the Administrative Agent, in each case pursuant to the arrangement, negotiation, preparation, execution and delivery of this Amendment and the Amended Credit Agreement.
Other Fees and Out of Pocket Costs. The Borrowers shall have paid any and all reasonable out-of-pocket costs (to the extent invoiced) incurred by the Administrative Agent, the Collateral Agent or Wachovia Capital Markets, LLC (including the reasonable fees and expenses of the Administrative Agent's and the Collateral Agent's legal counsel), and all other fees and other amounts payable to the Administrative Agent, the Collateral Agent or Wachovia Capital Markets, LLC, in each case in connection with the arrangement, negotiation, preparation, execution and delivery of this Amendment and the administration of the Amended Credit Agreement.
Other Fees and Out of Pocket Costs. The Borrower shall have paid any and all reasonable out-of-pocket costs (to the extent invoiced at least 2 Business Days prior to the First Amendment Effective Date) incurred by the Administrative Agent or Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated (“Xxxxxxx Xxxxx”) (including the reasonable fees and expenses of the Administrative Agent's legal counsel), and all other fees and other amounts payable to the Administrative Agent or Xxxxxxx Xxxxx, in each case in connection with the arrangement, negotiation, preparation, execution and delivery of this Amendment.
Other Fees and Out of Pocket Costs. The Borrower shall have paid any and all reasonable out-of-pocket costs (to the extent invoiced) incurred by the Administrative Agent or Xxxxxx Xxxxxxx Senior Funding, Inc. (“MSSFI”) (including the reasonable fees and expenses of the Administrative Agent’s or MSSFI’s legal counsel), and all other fees and other amounts payable to the Administrative Agent or MSSFI, in each case in connection with the arrangement, negotiation, preparation, execution and delivery of this Amendment and/or the Amended Credit Agreement.
Other Fees and Out of Pocket Costs. The Borrower shall have paid (to the extent invoiced) all costs, expenses, fees and other amounts required to be paid by it pursuant to Section 5.11 of this Third Amendment. Part 5
