Common use of Other Employment Agreement Clause in Contracts

Other Employment Agreement. The Employee and the Company have entered into an agreement, dated ______ __, 2003 (the “Employment Agreement”), which provides for certain benefits to be paid to the Employee upon certain terminations of Employee’s employment with the Company. Such Employment Agreement shall remain in full force and effect except that it shall be superceded by this Agreement during the Employment Period; provided, however, that, notwithstanding the foregoing, the authority of the Compensation Committee to end the period of employment under the Employment Agreement shall remain in full force and effect during the Employment Period, and the non-competition, non-solicitation and non-disparagement provisions of the Employment Agreement shall remain in full force and effect during the Employment Period and, if applicable, after the Date of Termination, in accordance with the provisions of the Employment Agreement.

Such Employment Agreement shall remain in full force and effect except that it shall be superceded by this Agreement during the Employment Period; provided, however, that, notwithstanding the foregoing, the authority of the Compensation Committee to end the period of employment under the Employment Agreement shall remain in full force and effect during the Employment Period, and the non-competition, non-solicitation and non-disparagement provisions of the Employment Agreement shall remain in full force and effect during the Employment Period and, if applicable, after the Date of Termination, in accordance with the provisions of the Employment Agreement.
