OSS and ESP1 Use License Grant. Seller hereby grants to Purchaser, from and after the Effective Date, a fully paid up, worldwide, multi-site, non-transferable, irrevocable, noncancellable, non-terminable and perpetual, right and license to perform, execute, copy (solely as incidental to the exercise of such other rights as are granted in this Section 2.1), access, and process information and data and otherwise utilize Seller's OSS Platform Software as it exists as of the Effective Date. Seller hereby grants to Purchaser, from and after the Effective Date, a fully paid up, worldwide, multi-site, non-transferable, irrevocable, noncancellable, non-terminable and perpetual, right and license to perform, execute, copy (solely as incidental to the exercise of such other rights as are granted in this Section 2.1), access, and process information and data and otherwise utilize Seller's ESP1 Service Software as it exists as of the Effective Date. Use of these licenses (the foregoing together being the "OSS and ESP1 Use License") by Purchaser is conditioned on utilization of the existing Software as reasonably necessary or useful for the purpose of marketing, sale and use of ESP1 Services, ESP2 Services and related services. Rights granted in association with the OSS and ESP1 Use License grant does not include any right to take action intended to alienate the rights of the Seller or to take any action intended to put such material in the public domain. At the time of delivery of the Assets, Seller shall deliver to Purchaser, if requested, a copy of all Documentation (including Source Code) relating to the Intellectual Property Rights underlying the OSS and ESP1 Use License.

  • License Grant If Products include software, firmware or documentation, Supplier grants to DXC a non-exclusive, perpetual, royalty free, worldwide license to use, reproduce, display, prepare derivative works of the documentation and distribute such works, software, firmware or documentation directly or as integrated into DXC products, and to sublicense such rights to third parties. Supplier shall identify all licenses and deliver to DXC all materials required to meet the requirements of any licenses for third party software that is included in the Products. Supplier shall deliver to DXC the source code for any software licensed under a license that has a source availability requirement (such as the GNU General Public License). If the source code is not included with the material that Supplier has previously delivered, Supplier shall deliver within seven (7) days after DXC’s request the source code for any software licensed under an open source license that has a source availability requirement. Supplier grants DXC the right to duplicate and distribute the materials as necessary.

  • License Grants The licenses granted in this Section 2 are subject to the terms and conditions set forth in this XXXX:

  • Sublicense Grant Licensee will be entitled to grant Sublicenses to third parties under the license granted pursuant to Section 2.1 subject to the terms of this Section 2.3. Licensee shall make all such persons fully aware of their responsibility to fulfill the obligations of Licensee under this Agreement.

In accordance with the terms and conditions hereof, the Licensor agrees to grant to Bianfeng Networking a license to install and operate the Licensed Software on the Designated Computers and to grant to its customers the right to use such software system.

The number of API calls you can make per account is limited as follows (excluding calls resulting from use of xxxxxxxxxx.xxx client applications, such as Offline Edition, and salesforce.com-certified AppExchange applications): - Enterprise Edition (and Professional Edition with API access add-on): 1,000 calls/day/User (aggregated over all Users under the account), up to an aggregate maximum of 1,000,000 calls/day/account.
