Organization and Good Standing: Articles of Incorporation and Bylaws. The Company (i) is a corporation duly organized, validly existing and in good standing under the laws of the state of its organization and (ii) has all requisite corporate power and authority to carry on its business as now conducted and proposed to be conducted. The Company (i) is duly qualified to conduct business as a foreign corporation, and (ii) is in good standing as a foreign corporation in all jurisdictions where the properties owned, leased or operated by it are located or where its business is conducted, except where the failure to so qualify or be in good standing (a) is not reasonably likely to have a material adverse effect on its business, condition, results of operations, assets or liabilities, (b) will not impede in any material respect the Company’s ability to perform its obligations under this Agreement, and (c) will not render the Shares not to be validly issued (a “Material Adverse Effect”).
