Optional and Scheduled Payments. Except as set forth in Section 4.2 and Section 4.4, prior to payment in full of all Senior Claims, (i) the Senior Secured Parties may receive and retain all payments in respect of any Senior Claim (including from Junior Collateral) and (ii) the Junior Secured Parties may receive and retain all payments in respect of any Junior Claim (including from Senior Collateral) unless such payments are from Senior Collateral or proceeds of Senior Collateral received as a result of any Collateral Enforcement Action, a distribution of proceeds of Senior Collateral in an Insolvency or Liquidation Proceeding or any other action taken in contravention of this Agreement.

Optional and Scheduled Payments. Except as set forth in Section 3.2 (Insurance and other Net Cash Proceeds) and Section 3.4 (Payment Over), prior to the Discharge of Senior Lien Obligations, (i) the Senior Secured Parties may receive and retain all payments in respect of any Senior Lien Obligation (including from Collateral) and (ii) the Junior Secured Parties may receive and retain all payments not prohibited by the Senior Lien Credit Agreement in respect of any Junior Lien Obligation (including from Collateral) unless such payments are from Collateral or proceeds of Collateral (x) received during a Default Distribution Period or (y) received as a result of any Collateral Enforcement Action or any other action taken in contravention of this Agreement.

  • Optional and Mandatory Prepayments (a) The Borrower may at any time and from time to time, upon notice to the Administrative Agent pursuant to delivery to the Administrative Agent of a Notice of Loan Prepayment, prepay the Loans made to it, in whole or in part, without premium or penalty; provided that such notice must be received by the Administrative Agent not later than (i) 1:00 p.m. three Business Days prior to any date of prepayment of Eurocurrency Loans and (ii) 1:00 p.m. on the date of prepayment of Base Rate Loans. Each such notice shall specify, in the case of any prepayment of Loans, the date and amount of prepayment. Upon the receipt of any such notice the Administrative Agent shall promptly notify each affected Lender thereof. If any such notice is given, the amount specified in such notice shall be due and payable on the date specified therein, together with (if a Eurocurrency Loan is prepaid other than at the end of the Interest Period applicable thereto) any amounts payable pursuant to subsection 4.10 and accrued interest to such date on the amount prepaid. Notwithstanding the foregoing, the Borrower may rescind or postpone any notice of prepayment under this subsection 4.2(a) if such prepayment would have resulted from a refinancing of the Loans, which refinancing shall not have been consummated or shall have otherwise been delayed. Partial prepayments of the Loans pursuant to this subsection shall be applied to the respective installments of principal thereof as directed by the Borrower in its prepayment notice (as determined at the Borrower’s sole election and discretion). Partial prepayments pursuant to this subsection 4.2(a) shall be in a principal amount of $1,000,000 or a whole multiple of $500,000 in excess thereof.

  • Optional Repayments The Borrower may at any time and from time to time repay the Revolving Credit Loans, in whole or in part, upon at least three (3) Business Days' irrevocable notice to the Administrative Agent with respect to LIBOR Rate Loans and one (1) Business Day's irrevocable notice with respect to Base Rate Loans, in the form attached hereto as Exhibit D (a "Notice of Prepayment") specifying the date and amount of repayment and whether the repayment is of LIBOR Rate Loans, Base Rate Loans, or a combination thereof, and, if of a combination thereof, the amount allocable to each.   • Payment of Principal, Interest, Escrow Items, Prepayment Charges, and Late Charges Borrower will pay each Periodic Payment when due. Borrower will also pay any prepayment charges and late charges due under the Note, and any other amounts due under this Security Instrument. Payments due under the Note and this Security Instrument must be made in U.S. currency. If any check or other instrument received by Lender as payment under the Note or this Security Instrument is returned to Lender unpaid, Lender may require that any or all subsequent payments due under the Note and this Security Instrument be made in one or more of the following forms, as selected by Lender: (a) cash; (b) money order; (c) certified check, bank check, treasurer’s check, or cashier’s check, provided any such check is drawn upon an institution whose deposits are insured by a U.S. federal agency, instrumentality, or entity; or (d) Electronic Fund Transfer. Payments are deemed received by Lender when received at the location designated in the Note or at such other location as may be designated by Lender in accordance with the notice provisions in Section 16. Lender may accept or return any Partial Payments in its sole discretion pursuant to Section 2.
