Common use of Operation & Maintenance Clause in Contracts

Operation & Maintenance. a. The Concessionaire shall operate and maintain the Project Facility in accordance with the Applicable Laws, provisions of this Concession Agreement and any latest/applicable regulations as issued by Government of India and or Government of Gujarat. b. The Concessionaire shall undertake to provide Healthcare Services by itself and will not outsource the Healthcare Services to third party. c. The Concessionaire shall undertake operations and maintenance of the Project Facility other than Healthcare Services by itself or through a Contractor possessing requisite technical, financial and managerial expertise/capability; but in either case, the Concessionaire shall remain solely responsible to meet the O&M Requirements of the Agreement. d. The Concessionaire shall, during the Concession Period and subsistence of this Agreement: i. shall designate and appoint suitable officers/representatives as it may deem appropriate to supervise the Project Facility, to deal with the Authority and to be responsible for all necessary exchange of information required pursuant to this Agreement; ii. shall, for the purposes of determining that the Project Facility is being maintained in accordance with the O&M Requirements as mentioned in this Agreement, the Concessionaire shall with due diligence carry out necessary tests in accordance with and as per the instructions of the Authority or its Authorized representatives and such tests shall be carried out under the supervision of the Authority or its Authorized Representatives. The Concessionaire shall maintain proper record of such tests and the remedial measures taken to cure the defects or deficiencies, if any, indicated by the tests results. e. No items comprising the Project Facility shall be disposed off during the Concession Period, unless specifically approved by the Authority in writing.

The Concessionaire shall undertake operations and maintenance of the Project Facility Facilities other than Healthcare Mechanized Laundry Services by itself or through a Contractor contractor possessing requisite technical, financial and managerial expertise/capability; but in either case, the Concessionaire shall remain solely responsible to meet the O&M Requirements of the Agreement. d. b. The Concessionaire shall, during the Concession Period and subsistence of this Agreement: i. Shall collect and deliver Linen from the respective hospitals tagged to the centralized unit. The Concessionaire shall ensure at all time that specifications of linen at the time of collection and delivery should match. ii. shall designate and appoint suitable officers/representatives as it may deem appropriate to supervise the Project FacilityProject, to deal with the Authority and to be responsible for all necessary exchange of information required pursuant to this Agreement; iiiii. shall, for the purposes of determining that the Project Facility Facilities is being maintained in accordance with the O&M Requirements as mentioned in this Agreement, the Concessionaire shall with due diligence carry out necessary tests in accordance with and as per the instructions of the Authority or its Authorized representatives and such tests shall be carried out under the supervision of the Authority or its Authorized Representatives. The Concessionaire shall maintain proper record of such tests and the remedial measures taken to cure the defects or deficiencies, if any, indicated by the tests results. e. c. No items comprising the Project Facility Facilities shall be disposed off during the Concession Period, unless specifically approved by the Authority in writing.

Operation & Maintenance. a. The Concessionaire shall operate and maintain the Project Facility and ensure operation & maintenance of equipment, furniture/fixture etc in accordance with the Applicable Laws, provisions of this Concession Agreement and any latest/applicable regulations as issued by Government of India and or Government of GujaratJharkhand. b. The Concessionaire shall undertake to provide Healthcare Educational Services by itself and will not outsource the Healthcare Educational Services to third party. c. The Concessionaire shall undertake operations and maintenance of the Project Facility other than Healthcare Educational Services by itself or through a Contractor possessing requisite technical, financial and managerial expertise/capability; but in either case, the Concessionaire shall remain solely responsible to meet the O&M Requirements of the Agreement. d. The Concessionaire shall keep the Project Facilities from undue deterioration and wear and shall ensure safety of personnel deployed for operation & maintenance of facilities Permit unimpaired performance of statutory duties and functions of any party in relation to the Project. e. The Concessionaire shall ensure that any situation which has arisen or likely to arise on account of any accident or other emergency is responded to as quickly as possible and its adverse effects controlled/minimized; f. The Concessionaire shall ensure that disturbance or damage or destruction to property of third party by operations of the Project Facility is controlled/minimized; g. In case of Eklavya Model Residential School, the Concessionaire shall Ensure all minor repairs including routine repairs of the Project Facility using the budgetary provision mentioned in Schedule 4-A of this agreement. h. Concessionaire shall, during the Concession Period operations period and subsistence of this Agreement: i. shall designate and appoint suitable officers/representatives as it may deem appropriate to supervise the Project Facility, to deal with the Authority and to be responsible for all necessary exchange of information required pursuant to this Agreement; ii. shall, for the purposes of determining that the Project Facility is being maintained in accordance with properly. iii. ensure that no demolition shall be allowed during the O&M Requirements as mentioned in this AgreementConcession Period, the Concessionaire shall with due diligence carry out necessary tests in accordance with and as per the instructions of unless specifically approved by the Authority or its Authorized representatives and such tests shall be carried out under the supervision of the Authority or its Authorized Representatives. The Concessionaire shall maintain proper record of such tests and the remedial measures taken to cure the defects or deficiencies, if any, indicated by the tests resultsin writing. e. No iv. ensure that no items comprising the Project Facility shall be disposed disposed-off during the Concession Period, unless specifically approved by the Authority in writing.
